The Firm represents regularly individuals, professionals and business entities in matters involving all aspects of business organizations, from their inception to their dissolution and liquidation, and everything in between. We counsel clients on choosing the most appropriate form of business entity (e.g., corporation, limited liability company, limited liability partnerships, etc.) and chartering jurisdiction for their particular business venture, and analyzing the effect that these decisions may have on the entity's treatment for purposes of taxes, liabilities, capitalization  and other substantial factors. The Firm also drafts documents for the organized governance (e.g., shareholder agreements, operating agreements, partnership agreements, etc.), funding and capitalization of these entities.

The Firm also represents entities in the sale of their assets or the acquisition of the assets of another business, and shareholders, members, or partners in such business entities in connection with the acquisition or sale of their equitable and financial interests in the entity.
